TERMS AND CONDITIONS

PLEASE KNOW THAT BY CONTRIBUTING YOUR DONATION TO THE BIOLOGICAL SYSTEMATICS SCHOLARSHIP FUND TO BENEFIT GRADUATE STUDENTS IN EAST CAROLINA UNIVERSITY’S DEPARTMENT OF BIOLOGY (“SYSTEMATICS SCHOLARHIP FUND”) IN AN AMOUNT EQUAL TO OR EXCEEDING THE SEALED RESERVE ESTABLISHED BY THE EAST CAROLINA UNIVERSITY FOUNDATION YOU MAY HAVE THE OPPORTUNITY TO NAME A SPECIES OF TRAPDOOR SPIDER (Araneae, Cyrtaucheniidae, Aptostichus) DISCOVERED BY EAST CAROLINA UNIVERSITY (“ECU”) FACULTY MEMBER DR. JASON BOND (“NAMING OPPORTUNITY”). IT IS IMPORTANT TO UNDERSTAND THE TERMS AND CONDITIONS UNDER WHICH YOUR DONATION IS MADE AND UNDER WHICH YOU WILL BE ENTITLED TO NAME THE SPIDER IF YOU ARE SELECTED BY EAST CAROLINA UNIVERSITY:

1. You agree to make an unconditional contribution to the East Carolina University Foundation in support of the Systematics Scholarship Fund to benefit graduate students in the Department of Biology if ECU selects you to have the Naming Opportunity.

2. If ECU selects you to have the Naming Opportunity you agree to pay to the East Carolina University Foundation in cash, the full amount of the unconditional contribution within 30 days of your selection. If you fail to pay the unconditional contribution in full within this time period, you irrevocably forfeit the Naming Opportunity unless ECU, in its sole and absolute discretion, extends in writing, the time period for the payment of the unconditional contribution and payment in full is made prior to the end of the extension.

3. It is the intent of ECU to select the donor contributing the highest donation to the Systematics Scholarship Fund equal to or exceeding the amount of the sealed reserve set by the East Carolina University Foundation to receive the Naming Opportunity. ECU in its sole and absolute discretion may make reasonable inquiries of any donor prior to selection. In addition, ECU’s selection of the donor to receive the Naming Opportunity shall be within the sole discretion of ECU. ECU may reject or disregard any donation or donor for any reason whatsoever. The amount of the sealed reserve will be disclosed to all bidders in a manner chosen by the East Carolina University Foundation in its sole discretion within thirty (30) calendar days of a donor being selected to receive the Naming Opportunity, if such donor is selected.

4. ECU and Dr. Jason Bond will endeavor to implement the Naming Opportunity for the donor selected by ECU after that donor has paid in full the amount of the unconditional contribution to East Carolina University Foundation. However, circumstances to implement the naming opportunity, may, for one or more reasons, be beyond the control of ECU and/or Dr. Bond. Neither ECU, nor any of its officers, employees or agents warrant or guarantee that the selected donor to receive the Naming Opportunity will have such Naming Opportunity implemented. The selected donor acknowledges that under no circumstances and at no time is such donor entitled to receive a return or repayment of any portion of the unconditional contribution referenced in paragraph 1 above. The donor selected by ECU to have the Naming Opportunity agrees to release and hold harmless East Carolina University, its officers, employees and agents and the East Carolina University Foundation, its officers, employees and agents from and against any and all liability, loss, expense (including attorney fees) or claims for damages or losses arising from or attributable to the inability to implement the conferred Naming Opportunity to such donor as a result of such donor’s selection by ECU.

5. If ECU, after taking reasonable steps, determines in its sole discretion that the conferred Naming Opportunity cannot be implemented for any reason, ECU may provide in its discretion, but with consultation with the donor, appropriate donor recognition for the donor’s contribution to the Systemtics Scholarship Fund.

6. The species name (epithet) chosen must be in compliance with the rules established in the International Code of Zoological Nomenclature (ICZN) and is subject to the final approval of ECU. ECU may reject for any reason any name proposed by the donor selected for the Naming Opportunity.

7. ECU may, in its sole discretion, modify or revise these Terms and Conditions at any time and you agree to be bound by such modifications or revisions.

8. You agree that these Terms and Conditions shall be governed by, construed and enforced in accordance with the laws of the State of North Carolina, where all matters relating to the validity, construction, interpretation, and enforcement shall be determined.

9. By contributing a donation to the Systematics Scholarship Fund, you agree to all the Terms and Conditions set forth above.
